The Board of Directors of the Affiliate has determined that it is in the best interests of the Affiliate to dissolve and join with the Coin Laundry Association (“CLA”).

At this Meeting, the Members present will vote to approve the following two actions, each of which has been thoroughly discussed and agreed upon by the Board of Directors of the Affiliate:

·        Approve the transfer of all assets from the Affiliate to the CLA and approve and adopt the Restructuring Agreement.

·        Approve the dissolution of the Affiliate.
